Terms of Service
The terms below govern using firxttech.com and engaging our services. The key points: pricing shown on the site is illustrative until confirmed in writing, and any paid work is scoped clearly before it begins.
These Terms of Service (“Terms”) govern your access to and use of firxttech.com (the “Site”) and any services provided by FirxtTech Limited (“FirxtTech”, “we”, “us”, “our”), a company registered in Nigeria, operating at Lagos, Nigeria.
By accessing the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site or our services.
1. Who We Are
FirxtTech provides Windows software tools, Microsoft 365 business infrastructure setup and management, IT support and consulting, web and domain health audits, perpetual software license supply, and digital educational content, for individuals and businesses primarily in Nigeria.
2. Use of the Site
You agree to use the Site only for lawful purposes. You must not:
- Attempt to gain unauthorized access to the Site, our systems, or other users' accounts
- Use the Site to transmit malware, spam, or harmful code
- Scrape, copy, or republish content from the Site without permission
- Use automated tools to interact with the Site in a way that disrupts its operation
3. Quotes, Estimates & Pricing
Prices, estimates, and ranges displayed on the Site — including those generated by interactive estimator tools — are illustrative only and do not constitute a binding offer. Final pricing for any service is confirmed in writing (typically following a free audit or consultation) before any engagement begins.
Submitting a contact form, quote request, or audit booking does not create a contractual obligation on either party. A service engagement begins only once both parties agree to a written scope and price.
4. Service Engagements
4.1 Scope of Work
For any paid engagement (Microsoft 365 setup, managed IT retainer, device support, web/domain work, or otherwise), the specific scope, deliverables, timeline, and price will be confirmed in writing — via a proposal, invoice, or service agreement — before work begins. These Terms apply in addition to, and do not override, any specific terms agreed in such a document.
4.2 Client Responsibilities
For us to deliver services effectively, you agree to:
- Provide accurate information about your current systems and requirements
- Provide timely access to accounts, systems, or premises where necessary for the work
- Maintain your own backups of critical data, in addition to any backup work we perform
- Make payments according to the agreed schedule
4.3 Managed IT & Retainer Services
Retainer-based services are billed monthly and continue until cancelled by either party. Cancellation terms (notice period, effect on ongoing work) will be specified in your service agreement. In the absence of a specific agreement, either party may cancel with 30 days' written notice.
5. Software Licenses
Where FirxtTech supplies perpetual software licenses (such as Microsoft Office or Windows product keys), these are genuine licenses sourced through legitimate distribution channels. Activation and use of these licenses remain subject to the license terms set by the original software publisher (Microsoft). FirxtTech's role is limited to supply and activation support; we are not the publisher and do not control the publisher's own licensing terms or future policy changes.
License purchases are one-time transactions. Refunds for digital license keys are only available if the key has not been activated and is reported as faulty within 7 days of delivery.
6. Payments & Billing
- Prices for paid services are quoted in Nigerian Naira (₦) unless otherwise agreed.
- Payment terms (upfront, milestone-based, or recurring) will be specified for each engagement.
- Subscription-style services (such as Microsoft 365 license management or managed IT retainers) renew automatically each billing period unless cancelled in accordance with the agreed notice period.
- Late payment may result in suspension of services until outstanding amounts are settled.
7. Refunds
Refund eligibility depends on the service:
- One-time setup services (e.g. Microsoft 365 setup) — refundable only if work has not yet commenced. Once work begins, fees for work completed are non-refundable.
- Monthly retainers — non-refundable for the current billing period once it has started. Cancellation stops future billing.
- Software licenses — see Section 5 above.
- Audits and consultations — non-refundable once delivered.
Refund requests should be sent to support@firxttech.com and will be reviewed on a case-by-case basis.
8. Disclaimers
FirxtTech provides IT setup, management, support, consultancy, and related services to the best of professional standards. However:
- We do not guarantee that any system will be completely free of errors, downtime, or security incidents — no IT system can be guaranteed 100% secure or uninterrupted.
- We do not provide legal, tax, accounting, or regulatory compliance advice. Our services help businesses adopt better tools and systems, but compliance with specific laws or regulations remains the client's responsibility.
- Advice given as part of our IT Consulting & Advisory service reflects our professional judgment at the time given, based on information you provide. We are not liable for business decisions made based on this advice.
- For engagements that require specialized expertise beyond our direct capability (such as formal compliance frameworks), we may recommend or coordinate with third-party specialists. We are not liable for the work product of independent third parties, though we will act in good faith in selecting and coordinating with them.
9. Limitation of Liability
To the maximum extent permitted by Nigerian law:
- FirxtTech's total liability for any claim arising from our services is limited to the amount paid by the client for the specific service giving rise to the claim.
- FirxtTech is not liable for indirect, incidental, special, or consequential damages — including loss of profits, loss of data (where the client has not maintained their own backups), or business interruption — arising from the use of our services or the Site.
- Nothing in these Terms excludes liability that cannot be excluded under Nigerian law, including liability for fraud or wilful misconduct.
10. Intellectual Property
All content on the Site — including text, graphics, logos, and software tools developed by FirxtTech (such as Netguard, FileRouter, and the Technicians Toolkit) — is the property of FirxtTech Limited or its licensors, unless otherwise stated. You may not copy, modify, distribute, or create derivative works without our written permission.
Digital educational products (guides, handbooks) purchased from FirxtTech are licensed for personal use by the purchaser and may not be redistributed or resold without permission.
11. Acceptable Use of Our Services
We reserve the right to suspend or terminate services to any client found to be using our infrastructure, support, or licenses for unlawful purposes, including fraud, spam, phishing, or distribution of malicious software.
12. Termination
We may suspend or terminate access to the Site or services if you breach these Terms. For paid engagements, termination terms specific to that engagement (as set out in your service agreement) take precedence over this general provision.
13. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of Nigeria.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date. Continued use of the Site or services after changes are posted constitutes acceptance of the updated Terms. For active service engagements, changes to these general Terms do not override terms specifically agreed in a service contract.
